DGCL § 321 - Service of process

As you remember, the statute requires that all initial certificates of incorporation name a registered agent, along with an address in the state of Delaware where the agent may be contacted. The registered agent plays an important role in ensuring corporate officers and directors (their principles) are subject to the jurisdiction of the Delaware courts for the purpose of stockholder litigation and other litigation related to the corporation. First and foremost, the corporation's registered agent is authorized to receive legal process, thus placing the corporation within reach of the state's courts at all times.
