DGCL Sec. 225 - Contested Director Elections
Given that director elections are central to questions of control over the corporation, it is not uncommon for stockholders to contest the results of director elections. In that case, the Chancery Court retains jurisdiction to determine the validity of election results. In addition, felony convictions or a judicial determination that a director has violated their fiduciary duties to the corporation are sufficient grounds for a court, on an application, to remove a director from office. A director "bar" can be a significant remedy.
