Managers rarely support shareholder proposals. Shareholder proposals call for changes. If the managers wanted changes, they wouldn't wait for shareholders to propose it.
This section, known as Rule 14a-8, describes how shareholder proposals are submitted. It also provides the acceptable reasons managers can use to exclude shareholder proposals from the ballot. Pay close attention to the excludable reasons in question 9.
